Designer Agreement

This Designer Agreement supplements the STENDHAL Terms of Service and applies to invited designers, maisons, and studios who use the Platform to discover and commission artists ("you"). Where this Agreement and the Terms conflict, this Agreement governs for designer-specific matters.

Commissioning access is granted by invitation and intended for professional designers, brands, and studios. You agree to use it for genuine commissioning and collaboration, not to solicit artists off-platform in order to avoid fees.

You are responsible for the accuracy of the business and contact information you provide.

STENDHAL helps introduce you to artists and may facilitate the brief, agreement, and payment for a commission. The specific scope, timeline, deliverables, and price of each commission are set between you and the artist, recorded through the Platform.

Unless agreed otherwise, STENDHAL acts as a facilitator and is not a party to the creative work itself.

Rights in a commissioned work — what you may use, where, for how long, and whether exclusively — are defined in each commission agreement. Absent a written transfer, the artist retains copyright and grants you the agreed licence on full payment.

You agree not to use a commissioned work beyond the rights granted, and to credit the artist where the agreement requires it.

Commission fees, the Platform's facilitation fee, payment milestones, and settlement terms are shown before you confirm a commission. Payment is due as scheduled; artists are paid according to the agreed terms once milestones are met.

You are responsible for any taxes applicable to your commissions.

Briefs, designs, and business information exchanged for a commission are treated as confidential and used only for that commission, unless the parties agree otherwise.

You agree to engage professionally and in good faith with artists and with STENDHAL.

Either party may end this Agreement at any time. Obligations under commissions already underway — payment, delivery, and granted rights — survive termination.
